These Terms & Conditions govern the provision of drone services by CloudVisual Ltd, a company registered in England and Wales under company number 09093343, with its registered office at 5 The Mews, Breadcroft Lane, Harpenden, AL5 4TF, trading as Aerometrics.

Any reference to “Aerometrics” within these Terms shall be deemed to refer to CloudVisual Ltd T/A Aerometrics.

1. Definitions

Client: The individual or organisation commissioning aerial film, photography, survey, or other services.

CloudVisual: Refers to CloudVisual Ltd, registered 09093343, with office at 5 The Mews, Breadcroft Lane, Harpenden, AL5 4TF. CloudVisual provides aerial filming, photography, surveying, and other drone services, operating under all applicable regulations, including those set by the Civil Aviation Authority (CAA).

Deliverables: All products resulting from the Services, including videos, photos, data, and reports.

Drone: Any unmanned aerial vehicle (UAV) used to perform the Services.

Job: Any assignment, project, or set of tasks undertaken on behalf of the Client, as detailed in the agreed scope of work.

Media: Footage, film, video, image, survey data, and other content captured by Aerometrics.

Services: All contracted activities, including but not limited to aerial filming, photography, surveys, and inspections.

Standby: Time spent on-site without active flying, including waiting on weather or instructions.

2. Introduction

2.1. Company: CloudVisual Ltd T/A Aerometrics is a Civil Aviation Authority (CAA) certified film, photography, and surveying company, flying drones within UK airspace. We provide exceptional drone services, adhering to CAA regulations, prioritising safety, and maintaining the highest industry standards.

2.2. Modifications: Aerometrics may update these Terms & Conditions at any time, with notice provided on our website or via direct communication.

2.3. Acceptance: By engaging our Services, Clients agree to these Terms & Conditions.

3. Scope of Services

3.1. Service Delivery: Aerometrics will execute Services in accordance with our Operations Manual and any pre-agreed brief. Limitations may apply due to regulation, safety, or technical capability.

3.2. Regulatory Compliance: Aerometrics will ensure all Services comply with CAA regulations and relevant bylaws.

3.3. Customisation: Clients may request additional Services with at least five days’ notice. Extra charges may apply.

3.4. Right of Refusal: Aerometrics reserves the right to accept or decline any Job at its sole discretion.

4. Rates, Costs and Charges

4.1. Unless agreed otherwise or as part of a rate card price, Aerometrics charges:

  • Hourly Rate: £250
  • Half Day (up to 4 hours on site): £650
  • Full Day (more than 4 hours on site): £1100

4.2. VAT: All prices are exclusive of 20% VAT.

4.3. Travel Costs: Travel to sites is charged at 45p per mile from Harpenden.

4.4. Additional Travel: The Client is responsible for charges such as congestion, ULEZ, and tolls.

4.5. Standby: If the Client requests standby on-site despite unsuitable weather, full charges apply.

4.6. Weather: No costs apply if weather prevents flight, unless standby is requested.

5. Quotations and Booking

5.1. Quotes depend on the accuracy of Client information. We may renegotiate if information is found inaccurate.

5.2. Validity: Quotes are valid for 30 days.

5.3. Bookings are confirmed only once written agreement is received.

6. Responsibilities

6.1. Client Responsibilities

  • Provide accurate location details.
  • Give 28 days’ notice for airspace authorisations.
  • Ensure site access and permissions are in place.
  • Provide confirmation of jobs by 16:00 the day before.

6.2. Aerometrics Responsibilities

  • Comply with CAA regulations and Rules of the Air.
  • Adhere to Article 241 of the Air Navigation Order.
  • Conduct pre-flight checks and planning.
  • Apply for airspace clearances on behalf of the client.

7. Cancellation Policy

7.1. Client cancellations due to weather or uncontrollable factors incur no fee. Cancellation within 48 hours without valid reason incurs a 50% fee. On-site cancellations incur a 100% fee.

7.2. Aerometrics may amend or cancel jobs due to weather, restrictions, or emergencies. Alternative dates will be offered.

8. Payment Terms

8.1. Payment is due within 30 days of invoice. Late payments incur 10% per calendar month.

8.2. Invoices are issued on delivery of Services.

8.3. Persistent non-payment may result in legal action.

9. Liability and Indemnification

9.1. Clients indemnify Aerometrics against liability arising from their negligence or misconduct.

9.2. Aerometrics’ total liability is limited to the amount paid for the specific Job. We are not liable for indirect or consequential damages.

10. Intellectual Property

10.1. All media remain the property of Aerometrics unless agreed otherwise.

10.2. Clients are granted a non-exclusive licence to use media for agreed purposes.

10.3. Aerometrics reserves the right to use media for marketing, unless restricted by NDA.

10.4. Prohibited uses include resale, defamatory use, or press release without consent.

10.5. Usage rights may be terminated for breach of these terms.

11. Confidentiality and Non-Disclosure

Aerometrics protects Client confidential information. NDAs are optional but welcomed.

12. Project Duration and Delivery

Deadlines are estimates. Delays caused by Clients may incur additional charges.

13. Services and Production

Services follow the agreed quote. Pilots have final authority for safety and compliance. Access, facilities, and permissions must be provided by the Client.

14. Pre-Production Requirements

Clients must secure permissions for copyrighted material. Aerometrics accepts no liability for claims on Client-provided material.

15. Data Protection

Aerometrics complies with GDPR and is ICO registered. Data is retained for five years unless otherwise agreed.

16. Emergency and Short-Notice Engagements

Standard half-day or full-day rates apply where no prior rate agreement exists, including emergency deployment scenarios.

17. Governing Law & Dispute Resolution

These Terms are governed by UK law. Disputes will first be mediated; failing that, they fall under the jurisdiction of UK courts. Aerometrics is not liable for failure to perform due to force majeure events.
